Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and OhhWells Pte. Ltd. (UEN 202441525E), a company incorporated in Singapore with its registered office at 160 Robinson Road, Singapore Business Federation Center, Singapore 068914 ("OhhWells", "we", "us"). They govern your use of ohhwells.com, the OhhWells web application, any site hosted on ohhwells.site, our done-for-you services, and any related products (together, the "Services").

By creating an account, clicking "I agree", or using the Services, you accept these Terms. If you are using the Services on behalf of a business, you confirm you have authority to bind that business, and "you" means that business.

1.1 Who can use OhhWells

You must be at least 18 years old and able to enter a binding contract. The Services are designed for businesses and professionals, not consumers acting in a personal capacity. You are responsible for keeping your login details secure and for everything done under your account.

1.2 Your account and plans

• Free plan. Limited features and a daily allowance of AI credits. We may change free-plan limits at any time.
• Trial. New accounts receive a 14-day free trial of a paid plan. When the trial ends, the account reverts to the Free plan unless you subscribe. We do not charge you automatically at trial end unless you have entered payment details and chosen a plan.
• Paid plans. Billed in advance, monthly or annually, in US dollars unless stated otherwise at checkout. Current plans and prices are at ohhwells.com/pricing.
• AI credits. Credits are consumed by AI features. Onboarding credits expire if you do not publish your site; other credits reset or expire as described in the app. Credits have no cash value and are non-transferable and non-refundable.
• Prices may change. We will give at least 30 days' notice by email before a price change takes effect on your existing subscription. Continuing to use a paid plan after that date means you accept the new price.

1.3 Payment, renewal and cancellation

• Payments are processed by Stripe. You authorise us and Stripe to charge your payment method for all fees due.
• Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time in your account settings; cancellation takes effect at the end of the current period and you keep access until then.
• 14-day refund on your first payment. If you are not happy with a paid plan, email support@ohhwells.com within 14 days of your first payment on a new subscription and we will refund that payment in full. Renewals, plan upgrades, AI credit purchases and done-for-you services are not covered by this refund (done-for-you packages have their own guarantee in Section 1.4). Apart from this, fees are non-refundable except where applicable law says otherwise.
• Prices exclude taxes. If we are required to charge GST, VAT or similar, it will be added at checkout.
• If a payment fails, we may downgrade or suspend your account after reasonable notice. Sites on a lapsed paid plan may lose custom-domain connection and paid features.

1.4 Done-for-you services and Care Plan

If you purchase a done-for-you website build or migration package:

• The scope, deliverables, price and timeline are set out in the order confirmation or proposal you accept, which forms part of these Terms. Anything not listed there is out of scope.
• Migration is quoted separately after we review your existing site.
• 30-day money-back guarantee. If you are not satisfied, tell us in writing at support@ohhwells.com within 30 days of your site going live and we will refund the package fee, less any third-party costs we incurred on your behalf (such as domain registration, premium stock assets or paid integrations). On refund, the site and its design are taken offline and your licence to use them ends; we will return your original content and assets to you. Migration fees and Care Plan fees for months already delivered are not refundable under this guarantee.
• Care Plan covers your platform subscription, a monthly allowance of content edits, a quarterly Conversion Score audit, priority support and keeping existing integrations connected. It does not include new pages, new features, new integrations, redesigns, marketing, or fixes to matters that are not defects in what we delivered.
• Where your site includes a simple online shop, OhhWells provides the storefront and checkout up to the point of payment. Delivery, fulfilment, stock, returns and refunds to your customers are your responsibility.

1.5 Your content and your sites

• You own your content. Text, images, brand assets, product information and data you upload or create ("Your Content") remain yours. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, transmit and adapt Your Content solely to provide, secure and improve the Services.
• You are responsible for Your Content and for your site, including its accuracy, legality, and compliance with consumer, advertising, health-claims and data-protection laws that apply to your business and your customers.
• You confirm you have the rights to everything you upload.
• Your customers' data. When visitors submit forms, make bookings or pay on your site, you are the party responsible for that data under applicable privacy law. We process it on your behalf under our Data Processing Addendum (Section 1.13). You must publish your own privacy notice on your site.

1.6 AI features

• The Services use AI to generate layouts, sections, copy and other material ("AI Output"). AI Output may be inaccurate, incomplete, or similar to output generated for other users. You must review AI Output before publishing.
• As between you and us, you may use AI Output for your own site and business. We do not claim ownership of AI Output, but we cannot guarantee that AI Output is unique or free from third-party rights.
• You must not use AI features to generate unlawful, deceptive, infringing or harmful material.

1.7 Our intellectual property

The Services — including the platform, editor, code, templates, section library, brand-token system, Conversion Score tool, documentation, and OhhWells branding — belong to OhhWells or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use them as part of the Services while your account is active.

Templates and sections are licensed for use within sites hosted on OhhWells only. You may not resell, redistribute, extract the code of, or use them to build a competing product.

1.8 Acceptable use

You must not:

• break the law, or host content that is defamatory, obscene, hateful, harassing, infringing, or that facilitates fraud, scams, phishing or malware;
• sell or promote illegal or counterfeit goods, or use the Services for adult or sexually explicit content, gambling or betting, weapons, tobacco or vaping products, multi-level marketing, unlicensed financial, investment or crypto services, or unlicensed medical or pharmaceutical products;
• send spam or violate anti-spam laws (including the Singapore Spam Control Act and Do Not Call rules) from or in connection with your site;
• attempt to access other users' accounts or data, probe or attack our infrastructure, or circumvent usage limits or credit metering;
• scrape, copy, reverse engineer or build a competing service from the Services;
• use the Services for high-risk activities where failure could cause death, injury or serious environmental damage.

We may remove content, suspend or terminate accounts that breach this section, with or without notice depending on severity.

1.9 Custom domains and hosting

• Free sites are published on an ohhwells.site subdomain. We may reclaim inactive or misleading subdomains.
• If you connect a custom domain, you are responsible for your registrar, renewal and DNS settings.
• We aim for high availability but the Services are provided without an uptime guarantee unless a separate written SLA applies. Maintenance, third-party outages (including hosting, DNS and payment providers) and force-majeure events may cause downtime.

1.10 Third-party services

The Services connect to third parties such as Stripe (payments), domain registrars, and integrations you enable. Your use of those services is governed by their terms. We are not responsible for their acts or omissions.

Payments you collect. To take payments on your site you connect your own Stripe account. You are the merchant of record for every sale: the Stripe Services Agreement governs your relationship with Stripe, funds settle directly to you, and you are responsible for Stripe's fees, chargebacks, refunds, taxes and compliance with card-network rules. OhhWells never holds, controls or is a party to your customers' funds.

1.11 Suspension and termination

• By you: cancel at any time in the app or by emailing support@ohhwells.com.
• By us: we may suspend or terminate your account if you breach these Terms, fail to pay, create legal or security risk for us or other users, or if we discontinue the Services (with at least 30 days' notice where practicable).
• On termination, for 30 days you may request a copy of Your Content (text, images, brand assets and form or booking submissions) in a standard file format by emailing support@ohhwells.com. Site code, templates and AI-generated layouts are not exportable. After 30 days we may permanently delete your account data. Sections that by their nature should survive (payment obligations, IP, disclaimers, liability limits, indemnity, disputes) survive termination.

1.12 Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted, error-free, or produce any particular business result (including leads, bookings, sales, search rankings or AI-search visibility).

1.13 Data protection

We process personal data as described in our Privacy Policy. For personal data of your customers and site visitors that we process on your behalf, our Data Processing Addendum ("DPA", at ohhwells.com/legal/dpa) applies and is incorporated into these Terms. A countersigned copy is available on request at support@ohhwells.com.

1.14 Limitation of liability

To the fullest extent permitted by law:

• Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, however caused.
• Our total aggregate liability under or in connection with these Terms is limited to the amount you paid us in the 12 months before the event giving rise to the claim (or USD 100 if you are on a free plan).
• Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.

1.15 Indemnity

You will defend and indemnify OhhWells, its directors, employees and contractors against claims, losses and costs (including reasonable legal fees) arising from Your Content, your site, your breach of these Terms, or your violation of law or third-party rights.

1.16 Changes to the Services or these Terms

We may update the Services and these Terms. For material changes we will give at least 14 days' notice by email or in-app. Continued use after the effective date means you accept the changes. If you do not agree, cancel before the effective date.

1.17 Governing law and disputes

These Terms are governed by the laws of Singapore. Before starting formal proceedings, the parties will try in good faith to resolve any dispute by discussion for 30 days. Any dispute not resolved is subject to the exclusive jurisdiction of the courts of Singapore.

1.18 General

• These Terms, the Privacy Policy, the DPA and any order confirmation are the entire agreement between us.
• If any provision is unenforceable, the rest remains in effect.
• You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
• Notices to us: support@ohhwells.com. Notices to you: the email on your account.
• Nothing in these Terms creates a partnership, agency or employment relationship.
